Terms of Service

1. Agreement to Terms

By accessing or using VueMigration's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our Vue 2 to Vue 3 migration services, including but not limited to migration audits, full migration projects, and related consulting services.

2. Description of Services

VueMigration provides professional software migration services, including:

  • Vue 2 to Vue 3 migration readiness audits
  • Full Vue 2 to Vue 3 application migrations
  • Vuetify 2 to Vuetify 3 migrations
  • Vuex to Pinia state management migrations
  • Post-migration support and maintenance
  • Related consulting and technical advisory services

All services are provided on a fixed-price or project basis as agreed upon in a separate service agreement or statement of work.

3. Service Agreements

Specific terms for each project, including scope, deliverables, timeline, and pricing, will be detailed in a separate written agreement (e.g., Statement of Work, Service Agreement). In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to that specific project.

4. Payment Terms

4.1 Pricing

Prices are subject to change, but changes will not affect projects already under contract.

4.2 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for accounts with overdue payments.

4.3 Refunds

Refund policies are specified in individual service agreements. Migration audits may be eligible for a money-back guarantee if deliverables are not provided as specified.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate and complete information about their codebase and requirements
  • Grant necessary access to code repositories, development environments, and documentation
  • Respond promptly to requests for information, feedback, and approvals
  • Designate authorized personnel for project decisions and approvals
  • Maintain backups of all code and data before migration begins
  • Comply with all applicable laws and regulations

6. Intellectual Property

6.1 Client Code

All pre-existing client code, applications, and intellectual property remain the exclusive property of the client.

6.2 Deliverables

Upon full payment, all deliverables created specifically for the client (migrated code, documentation, reports) become the property of the client, subject to any third-party licenses.

6.3 Our Tools and Methods

VueMigration retains all rights to our proprietary tools, methodologies, templates, and general knowledge. We may use anonymized, aggregated data from projects for improving our services.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We will correct any defects in our work at no additional charge if reported within 30 days of delivery.

7.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 Third-Party Software

We do not warrant third-party software, frameworks, or libraries. Clients are responsible for ensuring compliance with all third-party licenses and terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VUEMIGRATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim in the twelve (12) months preceding the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the project. This obligation survives termination of the service agreement.

Confidential information includes but is not limited to: source code, business plans, technical specifications, customer data, and financial information.

10. Termination

10.1 Termination by Client

Clients may terminate a service agreement with written notice. Payment is due for all work completed up to the termination date, plus any non-cancellable commitments.

10.2 Termination by VueMigration

We may terminate services immediately upon written notice if:

  • Client fails to make payments when due
  • Client breaches these Terms or the service agreement
  • Client engages in illegal or unethical conduct

11. Indemnification

Client agrees to indemnify, defend, and hold harmless VueMigration from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Client's use of the migrated code or deliverables
  • Client's breach of these Terms or the service agreement
  • Client's violation of any third-party rights
  • Any claims related to the client's original code or applications

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party services or infrastructure.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, or through the courts if arbitration is not available or required by law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VueMigration operates, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and VueMigration regarding the subject matter herein and supersede all prior agreements and understandings.
